Registration and Access

These Terms of Use ("Terms") apply to your use of Parallax Horizon's websites, applications, models, and related services (collectively, the "Services"), including Rizon and Smartops Copilot. By using our Services, you agree to these Terms.

To access certain Services you may need to register for an account. You must provide accurate and complete information and keep your account information updated. You are not allowed to share your account credentials or make your account available to anyone else, and you are responsible for all activities performed under your account.

You must be at least 18, or the legal age of majority in your jurisdiction, to use the Services. If you are accessing the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to that organization.

Usage Requirements

You may access the Services subject to your compliance with these Terms. In using the Services, you must comply with all applicable laws, our Usage Policy, and any service-specific terms we provide.

The Services, including any models and autonomous agents, may change over time as we improve reliability, safety, and performance. Features available today may be modified or discontinued.

You may not use the Services to develop products that compete with Parallax Horizon, attempt to extract or replicate the underlying models, reverse-engineer any component of the Services, or bypass rate limits or safety measures. We may suspend or terminate access for violations of this section.

Content

"Input" means any prompt, file, data, or other material you provide to the Services. "Output" means the responses, actions, or generated material produced by the Services based on your Input.

As between you and Parallax Horizon, and to the extent permitted by applicable law, you retain ownership of Input, and we assign to you our right, title, and interest, if any, in Output. You are responsible for ensuring your Input and use of Output complies with these Terms and applicable law.

Because AI is a developing field, Output may not always be accurate and may differ from what a human expert would produce. You should evaluate Output for accuracy before relying on it, particularly in contexts involving legal, medical, financial, or safety-critical decisions, and you should not rely on Output as a sole source of truth.

We use automated systems and human review to identify and address Input or Output that violates these Terms or our Usage Policy. Where violations are identified, we may remove or restrict content, limit access to certain features, or suspend or terminate accounts.

Fees and Payments

If you purchase a paid Service, additional terms regarding pricing and payment may apply and are incorporated into these Terms by reference. Fees are billed in advance and are non-refundable except as required by law or expressly stated otherwise.

We may change our fees prospectively at any time. If you are on a recurring subscription, we will provide reasonable notice before a price change takes effect; continued use of the paid Service after that constitutes acceptance of the new price.

Confidentiality, Security, and Data Protection

Our handling of Input and Output, including how it is stored, retained, and used, is described in our Privacy Policy and our Security & Compliance practices. Any additional commitments for enterprise customers are governed by a separate Data Processing Agreement where applicable.

We do not use customer Input or Output to train our models by default. Enterprise customers may opt into managed training arrangements under a separate written agreement.

You are responsible for maintaining reasonable safeguards around any credentials, API keys, or integrations you use to access the Services, and for promptly notifying us of any suspected unauthorized access.

Feedback

We appreciate feedback, comments, and suggestions for improvements to the Services ("Feedback"). You grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free license to use and incorporate Feedback for any purpose without obligation to you.

Indemnification

You will defend, indemnify, and hold harmless Parallax Horizon, its affiliates, and its personnel from and against any claims, losses, and expenses (including reasonable attorneys' fees) arising from or relating to your use of the Services, your Input, your violation of these Terms, or your violation of any third-party rights.

Disclaimer of Warranties

THE SERVICES, INCLUDING ALL MODELS, AGENTS, AND OUTPUT, ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ACCURATE, ERROR-FREE, OR SECURE. YOU UNDERSTAND AND AGREE THAT YOU USE THE SERVICES AT YOUR OWN RISK.

Limitation of Liability

NEITHER PARALLAX HORIZON NOR ANY OF ITS AFFILIATES OR PERSONNEL WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICES IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

Dispute Resolution and Arbitration

You and Parallax Horizon agree to first attempt to resolve any dispute informally by contacting legal@parallaxhorizon.com. If a dispute is not resolved within 60 days, you and Parallax Horizon agree that it will be resolved through binding individual arbitration, rather than in court, except that either party may bring an individual action in small claims court.

YOU AND PARALLAX HORIZON EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE ACTION. Any arbitration will be conducted on an individual basis only.

You may opt out of this arbitration agreement within 30 days of first accepting these Terms by sending written notice to legal@parallaxhorizon.com with your name and a clear statement that you wish to opt out.

Term and Termination

These Terms take effect when you first use the Services and remain in effect until terminated. You may stop using the Services and terminate these Terms at any time.

We may suspend or terminate your access to the Services at any time, including for violation of these Terms, suspected fraud or abuse, security risk, or extended inactivity, with notice where reasonably practicable.

Provisions that by their nature should survive termination will survive, including ownership provisions, disclaimers, indemnification, and limitations of liability.

Miscellaneous

These Terms, together with any incorporated policies and order forms, constitute the entire agreement between you and Parallax Horizon regarding the Services and supersede any prior agreements.

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice, such as by posting on our website or notifying you directly. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

These Terms are governed by the laws of the jurisdiction in which Parallax Horizon is incorporated, without regard to conflict-of-law principles, except where the arbitration agreement in Section 10 requires application of the Federal Arbitration Act. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any provision is not a waiver of our right to do so later.

"Services" means Parallax Horizon's websites, applications, APIs, models, and autonomous agents, including any related documentation.

"Input" means any text, files, data, or other material submitted to the Services. "Output" means the responses, content, or actions generated or taken by the Services based on Input.

"You" or "your" means the individual or organization that accepts these Terms and uses the Services.
