Terms of Service

These Terms of Service ("Terms") govern your access to and use of Parallax Horizon's websites, products, models, applications, and related services (collectively, the "Services"), including Parallax Lumina, Smartops Copilot, and Parauxo.

By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization, and "you" refers to that organization.

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Services. By using the Services, you represent that you meet this requirement.

Organizations may authorize individual users to access the Services under a single account, subject to additional enterprise terms where applicable.

You are responsible for safeguarding your account credentials and for any activity that occurs under your account. Notify us immediately of any unauthorized use.

We may suspend or terminate accounts that violate these Terms, present security risks, or are used in a manner inconsistent with our Acceptable Use Policy.

Our Services include AI models and agents that generate content, take actions, or produce outputs ("Outputs") based on your inputs ("Inputs"). AI-generated Outputs may be inaccurate, incomplete, or unsuitable for your intended purpose.

You are responsible for evaluating the accuracy and appropriateness of any Output before relying on it, especially in contexts involving legal, medical, financial, or safety-critical decisions.

Subject to your compliance with these Terms, we assign to you our rights, title, and interest, if any, in Outputs generated for you. You are responsible for ensuring your use of Inputs and Outputs does not infringe third-party rights.

You may not use the Services to generate or facilitate content that is illegal, harmful, deceptive, or that violates the rights of others. This includes, without limitation, the generation of malware, content exploiting minors, disinformation campaigns, or attempts to bypass model safety systems.

You may not use the Services to develop competing AI models without our prior written consent, or to reverse-engineer, extract, or replicate the underlying models.

We may monitor usage for policy violations and take action, including content filtering, rate-limiting, or account suspension, where violations are detected.

Some Services allow the deployment of autonomous or semi-autonomous AI agents capable of taking actions, executing workflows, or interacting with third-party systems on your behalf.

You are solely responsible for configuring appropriate human oversight, permission boundaries, and safeguards around any autonomous agent you deploy. We are not liable for actions taken by agents operating under configurations you control.

Paid Services are billed according to the pricing and billing terms presented at the time of purchase or as set out in an applicable order form. Fees are non-refundable except as required by law or expressly stated otherwise.

We may change pricing prospectively with reasonable notice. Continued use of paid Services after a pricing change constitutes acceptance of the new pricing.

We retain all rights, title, and interest in the Services, including our models, software, and underlying technology. These Terms do not grant you any rights to our trademarks, logos, or brand assets except as necessary to use the Services as intended.

You retain ownership of Inputs you submit, subject to the license you grant us to process them in order to provide the Services.

Our handling of your data, including Inputs and Outputs, is governed by our Security & Compliance practices and any applicable Data Processing Agreement.

We do not use customer Inputs or Outputs to train our models by default. Enterprise customers may opt into managed training arrangements under separate written agreement.

THE SERVICES, INCLUDING ALL AI MODELS AND OUTPUTS, ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that Outputs will be accurate, complete, reliable, or fit for any particular purpose. You assume all risk arising from reliance on AI-generated Outputs.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PARALLAX HORIZON SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES.

Our aggregate liability for any claim arising under these Terms shall not exceed the amount you paid us for the Services in the twelve months preceding the claim.

You agree to indemnify and hold Parallax Horizon harmless from any claims, damages, or expenses arising from your use of the Services, your violation of these Terms, or your violation of any third-party rights.

You may stop using the Services at any time. We may suspend or terminate your access to the Services if you violate these Terms or for legitimate business reasons, with notice where reasonably practicable.

Provisions that by their nature should survive termination, including intellectual property, disclaimers, and limitations of liability, will survive.

We may update these Terms from time to time. Material changes will be communicated through the Services or by other reasonable means. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

These Terms are governed by the laws of the jurisdiction in which Parallax Horizon is incorporated, without regard to conflict-of-law principles, unless otherwise required by applicable law.
